These Terms of Service ("Terms") govern your access to and use of the ShopLift POS mobile application, our website at kayleeretailllc.online, and related services (collectively, the "Services") provided by KAYLEE RETAIL LLC ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

ShopLift POS is a point-of-sale and retail management application designed for small and medium retail businesses. The Services may include inventory tracking, sales processing, reporting, staff management, and related features. We may add, modify, or discontinue features at any time.

Some features may not be available until the app is released on Google Play or other platforms. We will announce availability through our website or direct communication.

3. Eligibility

The Services are intended for business use by store owners, managers, and authorized employees who are at least 18 years of age. By using the Services, you represent that you have the legal authority to bind your business to these Terms and that all information you provide is accurate and current.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate store and contact information
  • Notify us promptly of any unauthorized access or security breach
  • Ensure that employees with access use the app only as authorized by you
  • Not share login credentials with unauthorized persons

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable Use

You agree to use the Services only for lawful business purposes. You may not:

  • Use the Services to process illegal transactions or sell prohibited goods
  • Reverse engineer, decompile, or attempt to extract source code from the app
  • Interfere with or disrupt the Services, servers, or networks
  • Upload malicious code, spam, or content that infringes third-party rights
  • Misrepresent your identity, business, or affiliation with KAYLEE RETAIL LLC
  • Use automated tools to scrape data or overload our systems without permission

You retain ownership of the business data you enter into ShopLift POS, including inventory records, sales logs, and customer information you choose to store. You grant us a limited license to host, process, and display your data solely to provide and improve the Services.

You are solely responsible for the accuracy of your business data and for complying with applicable laws regarding customer data, receipts, taxes, and record-keeping in your jurisdiction.

7. Fees and Payments

ShopLift POS may be offered as a free download with optional paid features or subscriptions in the future. Any fees will be clearly disclosed before you are charged.

Purchases made through Google Play or other app stores are subject to the billing terms and refund policies of those platforms. We do not directly process credit card payments on our website for in-app purchases.

8. Intellectual Property

The ShopLift POS app, website, logos, design, software, and all related content are owned by KAYLEE RETAIL LLC or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary materials except as needed to use the Services as intended.

9. Third-Party Services

The Services may integrate with third-party platforms such as Firebase (Google) for data sync and analytics, and Google Play for app distribution and billing. Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services outside our reasonable control.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or meet all of your business requirements. You use ShopLift POS at your own risk and are responsible for verifying sales totals, tax calculations, and business records independently where required by law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAYLEE RETAIL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability; in those cases, our liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify and hold harmless KAYLEE RETAIL LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your business data, your violation of these Terms, or your violation of any law or third-party rights.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will remain in effect.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may also be communicated through the app or by email where appropriate. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services shall be resolved in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.
